Introduction and Acceptance

These Website Terms of Use (Terms) govern your access to and use of the website located at rightomation.com.au and all associated public pages and subdomains (Website), operated by Rightomation Pty Ltd (ABN 36 651 581 396) (Rightomation, we, us, or our).

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must immediately cease using the Website.

These Terms apply to all visitors and users who access the Website (you or Visitor). They govern your use of the public Website only. Access to and use of Rightomation's software platforms and products (including FormSight, PrimalAudit, and TruckSight) is governed separately by the Customer Terms and Conditions, available at https://rightomation.com.au/customer-terms.html (Customer Terms).

If you are an existing customer of Rightomation accessing the Website in connection with your use of the Platform, both these Terms and the Customer Terms apply to you, with the Customer Terms prevailing to the extent of any inconsistency in relation to your use of the Platform.

Relationship to Other Policies and Agreements

These Terms should be read together with the following documents, each of which is incorporated by reference:

  • Privacy Policy (available at https://rightomation.com.au/privacy-policy.html): governs how Rightomation collects, holds, uses, and discloses personal information in connection with the Website;
  • Cookie Policy (available at https://rightomation.com.au/cookie-policy.html): explains how Rightomation uses cookies and similar technologies on the Website; and

Customer Terms and Conditions (available at https://rightomation.com.au/customer-terms.html): governs access to and use of Rightomation's software platforms and paid services, including FormSight, PrimalAudit, and TruckSight.

In the event of any inconsistency between these Terms and the Customer Terms in relation to your use of the Platform or paid services, the Customer Terms prevail.

Changes to These Terms

Rightomation reserves the right to amend these Terms at any time by posting an updated version on the Website at https://rightomation.com.au/terms-of-use.html and updating the "Last reviewed" date at the top of this document.

Amendments take effect from the date they are posted. Your continued use of the Website after that date constitutes your acceptance of the amended Terms.

For material changes, Rightomation will use reasonable endeavours to provide notice (for example, by a notice on the Website homepage or by email where you have provided contact details). However, it is your responsibility to review these Terms periodically.

Ownership of Content and Intellectual Property

Rightomation's Intellectual Property. All content on the Website, including (without limitation) text, articles, product descriptions, graphics, photographs, illustrations, logos, brand assets, trade marks, service marks, icons, layout and design, user interface elements, and source code (Website Content), is the exclusive intellectual property of Rightomation Pty Ltd or its licensors and is protected by the Copyright Act 1968 (Cth) and other applicable intellectual property laws.

No Transfer of Ownership. Nothing in these Terms transfers any intellectual property rights in the Website Content to you. All rights not expressly granted are reserved by Rightomation.

Limited Viewing Licence. Subject to your compliance with these Terms, Rightomation grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the publicly available pages of the Website for your own personal or internal business information purposes only.

Restrictions. You must not, without Rightomation's prior written consent:

  • reproduce, copy, republish, upload, post, transmit, or distribute any Website Content in any form or by any means;

Prohibited Uses

You must use the Website only for lawful purposes and in accordance with these Terms. You must not use the Website:

  • in any way that violates any applicable Commonwealth, state, or local law or regulation;
  • to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material, including through the Website's contact forms, enquiry forms, or any other communication channel (spam);
  • to engage in any conduct that is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
  • to impersonate any person or entity, or falsely represent your affiliation with any person or entity;
  • to collect or harvest any personally identifiable information from the Website without authorisation; or
  • in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party's use of the Website.
  • Automated Access and Scraping. You must not, without Rightomation's prior written consent:

  • engage in web scraping, data mining, or any other automated data extraction from the Website;
  • use any tool or technique to monitor, copy, or systematically retrieve Website Content for any purpose;
  • attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of any software underlying the Website; or
  • bypass, circumvent, or attempt to circumvent any access controls, authentication mechanisms, or security features of the Website.

Malicious Code. You must not introduce, upload, or transmit to the Website any virus, trojan horse, worm, logic bomb, ransomware, spyware, adware, or any other malicious or technologically harmful code, program, or material.

Contact Forms. The Website's contact forms and enquiry channels are provided solely for genuine enquiries about Rightomation's products and services. Product descriptions on the Website do not constitute a warranty that any product or service will meet your specific requirements, nor do they form part of any contract for the supply of those products or services.

The nature, scope, and limitations of Rightomation's software tools are set out in the Customer Terms, which govern all use of the Platform. In particular:

  • FormSight, PrimalAudit, TruckSight, and related tools are administrative file-generation and workflow automation utilities; they are not payroll systems, accounting software, legal compliance tools, or transport regulatory advisory services; and
  • the Customer Terms contain important disclaimers regarding Customer responsibility for verifying all inputs and outputs generated by the Platform.

If you are considering subscribing to any Rightomation product, you should review the Customer Terms carefully before doing so.

No Advice Liability. To the maximum extent permitted by law, Rightomation is not liable for any loss or damage arising from your reliance on any information on the Website as accounting, legal, payroll, tax, transport regulatory, or other professional advice. You acknowledge that Website Content is general information only and that you have been advised to seek independent professional advice before acting on it.

Paid Services. This clause 9 applies to your use of the public Website only. Liability in connection with your use of Rightomation's software platforms and paid services is governed by the Customer Terms.

Privacy and Cookies

By using the Website, you consent to the collection and use of your personal information in accordance with the Privacy Policy.

  • your violation of any applicable law or regulation in connection with your use of the Website;
  • any content you submit through the Website, including through contact forms or enquiry channels; or
  • any third-party claim arising from your conduct on or in connection with the Website.

This indemnity is limited to claims arising from your own breach, negligence, or unlawful conduct and does not extend to claims caused or contributed to by Rightomation's own acts or omissions.

Suspension and Termination of Access

Rightomation reserves the right, in its absolute discretion and without notice or liability, to:

  • suspend or terminate your access to the Website at any time for any reason, including if Rightomation reasonably believes you have breached these Terms; and
  • block access to the Website from specific IP addresses or geographic regions.

Termination of your access to the Website does not affect any rights or obligations that have accrued prior to termination, including any indemnity obligations under clause 12.

Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, and the Federal Court of Australia for the resolution of any dispute arising out of or in connection with these Terms.

General

Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Rightomation with respect to your use of the public Website. Your use of Rightomation's software platforms and paid services is governed by the Customer Terms, which constitute a separate agreement.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision is severed and the remaining provisions continue in full force and effect.

Waiver. A failure by Rightomation to exercise or enforce any right under these Terms does not constitute a waiver of that right. A waiver is only effective if given in writing.

No Assignment. You may not assign or transfer any rights or obligations under these Terms without Rightomation's prior written consent.
